1.1 Acceptance of Terms

By accessing or using https://learning.zenaviq.com, creating an account, purchasing a course, or otherwise using our services, you (“User”, “you”, “your”) agree to be bound by these Terms and Conditions (“Terms”), our Privacy Policy, and our Refund Policy, which are incorporated here by reference. If you do not agree, do not use the Platform.

These Terms constitute a legally binding agreement between you and Zenaviq. We may update them from time to time (see Section 1.19). Your continued use after changes take effect constitutes acceptance.

1.2 Eligibility

  • You must be at least 18 years of age, or the age of majority in your jurisdiction, to purchase a course or enter into a binding contract.
  • If you are under 18, you may use the Platform only under the supervision of a parent or legal guardian who agrees to these Terms on your behalf.
  • If you are using the Platform on behalf of an organisation (for example, purchasing team or seat licences), you represent that you are authorised to bind that organisation to these Terms.
  • You represent that the information you provide during registration and purchase is accurate, current, and complete.

1.3 Nature of Our Services — Important Disclaimer

Zenaviq Learning provides educational and informational content relating to artificial intelligence, its application in the pharmaceutical and life sciences industries, and related professional topics. You expressly acknowledge and agree that:

  • Our content is for educational purposes only. It does not constitute regulatory, legal, medical, clinical, compliance, financial, or professional advice of any kind.
  • We are not a regulatory, medical, or compliance authority. Nothing in our courses should be treated as an authoritative statement of any law, regulation, guideline (including but not limited to ICH, FDA, EMA, WHO, or GMP guidance), or standard. Regulations change, vary by jurisdiction, and must always be verified against official primary sources.
  • You must independently verify all regulatory and technical information before relying on it in any professional, workplace, submission, or compliance context. Course examples (including any references to specific regulatory sections, tools, or workflows) are illustrative teaching aids, not verified regulatory guidance.
  • AI tools referenced in our courses are third-party products not operated or controlled by Zenaviq. We do not guarantee their outputs, availability, accuracy, or fitness for any purpose. AI systems can produce incorrect, incomplete, or fabricated information (“hallucinations”), and you are solely responsible for verifying any AI-generated output before use.
  • Course completion, quizzes, and certificates demonstrate engagement with our educational material only. They are not professional qualifications, accreditations, licences, or certifications recognised by any regulatory body, employer, or professional institution, and do not certify competence in any regulated activity.

1.4 Accounts and Security

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You agree to notify us immediately at info@zenaviq.com of any unauthorised use of your account or any other security breach.
  • You may not share, sell, transfer, or sublicense your account or course access to any other person. Each individual licence is for use by a single named individual. Team and seat licences are governed by the specific terms of the applicable order or agreement.
  • We reserve the right to suspend or terminate accounts that we reasonably believe are being shared, misused, or used in violation of these Terms (see Section 1.15).

1.5 Courses, Purchases, and Pricing

  • Prices are listed primarily in Indian Rupees (INR), and may also be offered in US Dollars (USD) for international customers (see Section 1.6). Zenaviq Solutions is not currently registered for GST; prices are inclusive of any applicable Indian taxes, and a GST tax invoice is not issued.
  • We reserve the right to change course prices, offers, discounts, and promotional terms at any time. Price changes do not affect purchases already completed.
  • Promotional or launch pricing (including any “launch price”, “early bird”, or limited-seat offers) is valid only for the stated period or quantity and may be withdrawn or modified at our discretion.
  • Payment is processed through third-party payment processors — Razorpay, PhonePe, Paytm, PayU, Stripe, and PayPal — depending on your location and chosen method. By making a purchase, you also agree to the applicable processor’s terms and privacy practices. We do not store your full card or banking details on our servers.
  • Access to a purchased course is granted after we receive confirmation of successful payment.
  • Unless expressly stated otherwise at the point of purchase, course access is granted on a lifetime access basis (for as long as Zenaviq Solutions continues to operate the Platform and the course remains available).

1.6 International Sales, Currency, and Taxes

Zenaviq Solutions is based in India and sells its courses to customers worldwide.

  • Currency. Prices are displayed primarily in Indian Rupees (INR). For international customers, prices may also be offered in US Dollars (USD). Where both are shown, the INR price is the reference price; the USD price is provided for convenience and may vary with exchange rates and processor conversion.
  • Currency conversion. If you pay in a currency different from the one charged by our payment processor, your bank or card issuer may apply its own exchange rate and foreign-transaction fees. These are outside our control and are your responsibility.
  • Local taxes and duties. You are responsible for any taxes, levies, or charges applicable in your own country or jurisdiction (including any VAT, GST, sales tax, or withholding applicable to digital services in your location). Our displayed price does not include such local taxes unless expressly stated.
  • Indian tax status. Zenaviq Solutions is a sole proprietorship and is not currently registered for GST. Prices are inclusive of any applicable Indian taxes; a GST tax invoice is not issued. This status may change in future, and prices/tax treatment will be updated accordingly.
  • Compliance in your jurisdiction. You are responsible for ensuring that your purchase and use of the course is lawful in your country. We make no representation that the content is appropriate or available for use in every location.

1.7 Team, Seat, and Corporate Licences

  • Team, seat, bulk, and corporate licences are subject to a separate order form, invoice, or written agreement, which prevails over these Terms to the extent of any conflict.
  • Seat licences are for use by the specific number of named individuals purchased. Reassigning a seat to a different individual is permitted only as expressly set out in the applicable order.
  • Corporate purchasers are responsible for ensuring their users comply with these Terms.

1.8 Intellectual Property

  • All content on the Platform — including but not limited to course videos, scripts, slides, the Field Guide, prompts, quizzes, text, graphics, logos, the “Zenaviq” and “Zenaviq Learning” names and marks, the visual design, software, and interactive tools — is the property of Zenaviq or its licensors and is protected by Indian and international copyright, trademark, and other intellectual property laws.
  • Upon purchase, you are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and view the purchased course content for your own personal, non-commercial, educational use only.
  • You may not, without our prior written permission:
    • copy, reproduce, record, screen-capture, download (except where a download feature is expressly provided, e.g. the Field Guide PDF for personal use), redistribute, republish, sell, rent, lease, sublicense, or otherwise commercially exploit any course content;
    • share your login or course access with any other person;
    • use any content to create a competing or derivative course, product, or service;
    • remove, obscure, or alter any copyright, trademark, or proprietary notice;
    • use automated means (bots, scrapers, crawlers) to access or extract content.
  • The limited licence granted to you terminates automatically if you breach these Terms.
  • Downloadable resources (such as the Field Guide and prompt templates) are provided for your personal professional use. You may use the prompts in your own work; you may not redistribute or resell the resources themselves.

1.9 User Conduct

You agree not to:

  • use the Platform for any unlawful, fraudulent, or unauthorised purpose;
  • upload or transmit any content that is unlawful, defamatory, infringing, harmful, or that violates any third party’s rights;
  • enter any confidential, proprietary, personal, patient, or regulated data into any AI tool or exercise as part of, or inspired by, our courses — our courses expressly warn against this, and you do so entirely at your own risk and responsibility;
  • interfere with, disrupt, or compromise the security or integrity of the Platform or its servers;
  • attempt to gain unauthorised access to any part of the Platform, other accounts, or connected systems;
  • reverse engineer, decompile, or disassemble any part of the Platform except as permitted by law;
  • impersonate any person or misrepresent your affiliation;
  • use the Platform in any way that could damage, disable, or overburden it.

1.10 User-Generated Content (Comments, Q&A, Reviews)

  • The Platform may allow you to post comments, questions, answers, or reviews (“User Content”).
  • You retain ownership of your User Content, but you grant Zenaviq a worldwide, royalty-free, perpetual, irrevocable, non-exclusive licence to use, display, reproduce, and adapt it in connection with operating and promoting the Platform.
  • You are solely responsible for your User Content and represent that it does not infringe any third-party rights or violate any law.
  • You must not post confidential, proprietary, patient, or personal data of any person (including yourself or your employer) in any public area of the Platform.
  • We may moderate, edit, or remove User Content at our discretion, and may suspend users who violate these Terms.

1.11 Third-Party Links and Tools

The Platform may reference or link to third-party websites, tools, and services (including AI tools such as ChatGPT, Claude, Microsoft Copilot, Google Gemini, and others). We do not control, endorse, or assume responsibility for any third-party content, products, services, availability, or privacy practices. Your use of any third-party service is governed by that third party’s own terms and policies, and is entirely at your own risk.

1.12 Disclaimer of Warranties

  • The Platform and all content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law.
  • We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any defects will be corrected.
  • We do not warrant that the content is accurate, complete, current, reliable, or suitable for any particular purpose, including any professional, workplace, or regulatory purpose.
  • We do not warrant that using our courses will result in any particular outcome, skill level, employment, certification, or professional benefit.
  • Any material downloaded or obtained through the Platform is accessed at your own discretion and risk.

1.13 Limitation of Liability

To the maximum extent permitted by applicable law:

  • Zenaviq, its directors, officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Platform or its content.
  • In particular, and without limitation, we shall not be liable for any loss or damage arising from: your reliance on educational content for professional, regulatory, or compliance purposes; any regulatory action, audit finding, employment consequence, or business decision; any errors, hallucinations, or outputs of third-party AI tools; or any entry of confidential or regulated data into any AI tool.
  • Our total aggregate liability to you for all claims arising out of or relating to the Platform or these Terms shall not exceed the total amount you actually paid to Zenaviq for the specific course giving rise to the claim in the twelve (12) months preceding the event giving rise to liability.
  • Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable Indian law.

1.14 Indemnification

You agree to indemnify, defend, and hold harmless Zenaviq and its directors, officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any law or third-party right; (d) your User Content; or (e) your entry of any confidential, regulated, or personal data into any AI tool or exercise.

1.15 Suspension and Termination

  • We may suspend or terminate your account and access to the Platform, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraud or account sharing, or misused the Platform.
  • You may stop using the Platform at any time. Termination does not entitle you to any refund except as provided in our Refund Policy.
  • Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) shall survive.

1.16 Force Majeure

We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government action, power or internet failures, or failures of third-party providers or payment processors.

1.17 Governing Law and Dispute Resolution

  • These Terms are governed by and construed in accordance with the laws of India.
  • Subject to the below, the courts at Gwalior, Madhya Pradesh, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform.
  • Dispute resolution: In the event of any dispute, the parties shall first attempt to resolve it amicably through good-faith negotiation. If unresolved within 30 days, the dispute may be referred to arbitration by a sole arbitrator appointed by Zenaviq, conducted in accordance with the Arbitration and Conciliation Act, 1996, seated at Gwalior, Madhya Pradesh.

1.18 Grievance Redressal (India IT Rules)

In accordance with the Information Technology Act, 2000 and applicable rules, our Grievance Officer is:

We will acknowledge grievances within 48 hours and endeavour to resolve them within 15 days or as required by applicable law.

1.19 Changes to These Terms

We may modify these Terms at any time. The “Last updated” date will reflect the latest version. Material changes will be notified via the Platform or email where reasonable. Your continued use after changes take effect constitutes acceptance. We encourage you to review these Terms periodically.

1.20 Miscellaneous

  • Entire agreement: These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Zenaviq regarding the Platform.
  • Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
  • No waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.
  • Assignment: You may not assign these Terms without our consent. We may assign them freely.
